*1 TERMS OF SALE AND DELIVERY

These sales and delivery terms apply to all offers, sales and deliveries between the Customer and LR (Lola Ramona) unless otherwise agreed in writing and accepted by both parties.The Customer is obliged to confirm these sales and delivery terms by placing an order at this site. The Customer is furthermore obliged to name a person and the position of the person employed by the Customer who is authorized to place orders with LR.

2 ORDERS AND OFFERS

2. Orders placed by the Customer are binding.

2.1 Regardless paragraph 2.1 cancellation of an order can take place by the latest seven (7) days from the date of placement of the order. The date of the placement of the order is the date that the customer places an order at this site, or in lack of this the date on which the order form is transmitted to LR electronically.

2.3 In case of disagreement between an order and the order confirmation the last mentioned is applicable.

2.4 Offers made by LR without a specific acceptance deadline will lapse if not accepted within two (2) weeks from the date of the offer.2.5 In case a customer decide to cancel the order later than seven days after deadline, there will be a penalty of 30% of the order value. This penalty will be effected immediately after the confirmation of the cancellation from LRs side.

3 PRICE, DELIVERY AND DELAY

3.1 All prices are exclusive VAT and appear from the pricelist valid at the time of the receipt of the order confirmation. LR reserves the right to change the prices without notice.

3.2 Regardless paragraph 3.1 the Customer is until placement of an order bound to accept changes in prices as a result of increased costs for LR due to change in currency exchange rates, custom rates, taxes and duties, charges, freight, or other changes concerning the order in question.

3.3 Pre-Orders of EUR 3000 or more are delivered free of shipping cost. Order values of less than EUR 3000 are subject to shipping cost. Re-orders of 10 Pairs or more are delivered free of shipping cost. LR takes all the risk of delivery until the goods are received at the clients warehouse.

3.4 The time of delivery is stated on the order confirmation and will be calculated from the date of dispatch of the order from LRs warehouse. Unless other is agreed, postponement of a delivery of two weeks due to LR is considered in time and does not entitle the customer to any compensation from LR.

4 TERMS OF PAYMENT

4.1 Payment has to be in EURO (EUR) and the terms of payment is pre-payment by pro-forma invoice, unless LR is able to obtain credit insurance for the customer. By credit insurance, the payment term will be 30 days. LR reserves the right to cancel credit insurance for any reason found valid by LR.

4.2 In case of delayed payment LR is entitled to charge default interest pr. Month in accordance with the interest rate of the Danish National Bank.

4.3 The Customer may not hold back payment due to counterclaims against LR, which have been accepted, by LR and the Customer may not hold back any part of the payment due to counterclaims of any sort. All goods received from LR will remain the property of LR, until LR has received the payment in full.

5 NOTICE OF DEFECTS AND RETURN

5.1 The Customer shall inspect the received goods immediately upon arrival at the place of delivery according to reasonable business manners.

5.2 Defects, in order to be valid, shall be made immediately after the defect has been detected or should have been detected no later than five (5) days after receipt of the goods and be supported by documentation of the defect in question. LR liability for non-conforming goods expires five (5) days from the time of deliver to the Customer.

5.3 LR chooses at its own option whether to offer exchange or repair of goods. Return of goods can only take place after written acceptance of LR. The Client should receive new or repaired product within a month.

5.4 If defects occur during regular use of the products, claim should be e-mailed attached with a photo to appropriate sales responsible, who will then decide the next action. 
If LR needs the claim returned LR is responsible for the shipping cost.

LIMITATION OF LIABILITY AND PRODUCT

5.5 LR is only responsible for defects of the goods in the scope covered by the applicable and invariable Danish legislation.

5.6 When a claim is returned LR will replace with a new product or a credit note. LR is not responsible for a potential profit loss.

5.7 The following conditions are to be considered force majeure and LR is without liability in case these prevent LR from executing an order or make the fulfilment unreasonably burdensome: all circumstances which are out of the hands of LR such as strikes, labour disputes of all kinds, fire, war, mobilization, confiscation, currency restrictions, rebellion and riot, lack of means of transport, general scarcity of goods as well as shortage or delay in deliveries from subcontractors. Both parties are entitled to cancel orders in case the order is delayed more than two (2) months due to force majeure.

DISPUTES AND APPLICABLE LAW

5.8 These terms of sale and delivery are applicable to Danish law and are to be interpreted accordingly.

5.9 Any dispute that may occur between the Customer and LR must be settled at the Maritime and Commercial Court in Denmark.Approved by the CustomerBy submitting an order through this website, I acknowledge that I have read and accept the terms and conditions of sale and delivery from Lola Ramona.
